Each year, every employee must sign a declaration ensuring they have read and understand our Code of Business Ethics and Conduct. and declare any possible conflicts of interest.

The Code outlines compliance with applicable laws, including the U.S. Foreign Corrupt Practices Act; antitrust laws; bribery and kickbacks; improper lobbying and political contributions; conflicts of interest; copyright; piracy; environmental; export and import; fraudulent transactions; software; harassment and discrimination; substance and alcohol abuse; and theft.

In most circumstances, Newmont's standards are higher than the law requires, and while our contractors are not covered by the Code, they are committed to certain ethical standards through the terms of their contracts. In addition, the Code is fully compliant with the Partnering Against Corruption Initiative.

In 2010, we established a Compliance and Ethics Team. A governance structure consisting of a Steering Committee and Ethics Advocates in each region and Discovery and Development were put into place. The team works to promote the Code of Conduct through program content such as Newmont's Employee Code of Business Ethics and Conduct and Newmont's Anti-Corruption Manual.

Our values and ethics are also promoted through training programs both established within the regions on ethics-related topics and online globally through programs such as Gold Medal Ethics and Integrity Champions. The Integrity Champions Course is being rolled out in 2011. In 2009-2010 an awareness campaign, "Ethics Begins With Me," was conducted consisting of messages from CEO Richard O'Brien and all of our Regional Vice Presidents, and posters at our sites.

In 2011 a new awareness campaign, "Tell Your Story," will be rolled out. Through this program, stories of ethical behavior and lessons relating to the topic will be gathered from our leaders and employees. These stories will be shared throughout the organization in many venues including videos, town hall meetings, posters, training sessions and small group discussions.

Finally, we utilize an Ethics Solutions Tool to identify potential ethics issues. All stakeholders can use the publicly available tool to report an incident, ask an ethics-related question or nominate someone who is exemplifying ethical behavior. All ethics issues raised through the tool or through other venues in our business are managed by the team and are reviewed and evaluated by investigators in the relevant area of expertise. All activity of the Ethics Team is reported to our Audit Committee of the Board of Directors.

Our toll-free Compliance Line allows our employees to report suspected violations of the Code, non-conformance with company policies and any other concerns. The Compliance Line operates 24 hours a day, seven days a week, 365 days a year through an independent source, which assures that calls are confidential and anonymous.

In addition, our Internal Audit Department reviews and assesses concerns raised by our employees, which are addressed by either local or corporate management as appropriate. Disciplinary action, which can include termination, is taken against employees in violation of the Code.
